Wonderware operates in the field of development and sales of industrial software and computer systems. Could you tell us about the role that you played and what your team did during the deal, and the responsibilities they took on until the end of the acquisition?

In the first phase, one shareholder of Wonderware sold all of his shares, while the other two retained their role as directors and sold only part of their shareholdings in Wonderware. This was done to contribute to the growth of the business. We were very concerned during the negotiations to clearly define the boundaries of responsibilities of each seller in relation to their shares and obligations of the company. On the other hand, we wanted the more complex aspects such as the role retained by both shareholders and the backup option of exercising put/call options that they and the acquiring firm granted reciprocally.


How do you support your clients after the agreement is made? Does this have an impact on the success of their business when they sell it?
