The deal was done through BM S.p.A. (one of the Beta Group companies). RaffaelliSegreti Studio Legale assisted with the sale.
Helvi, a company located in Sandrigo (VI), Italy that manufactures professional battery chargers, accessories, and industrial welding machines, is Helvi. The acquisition will increase the product and service offerings of Beta Group, a leader in the manufacture and marketing of tools and equipment for the automotive, mechanical and industrial maintenance sectors.
Beta Group was assisted by Arrigoni Legal Atelier on all aspects of legal compliance. A team that included Bruno Arrigoni (Founder & Managing Partner), Partner Mauro Arrigoni, and Associate Carolina Pasotti supported Bruno.
Bruno Arrigoni Arrigoni Legal Atelier:
Please tell us more about the process of the acquisition and what role you played in its completion.
Our brand states that we are a Legal Atelier’. We don’t have the large-scale structure of a big law firm and we are not a ’boutique. “Atelier” is a way to emphasize our vocation to create different legal architectures and solutions every time, just as you would with a painting or a statue. They are managed holistically, with both internal and external resources. This is exactly what we did in this deal. The role we play is our distinctive side. Technical skills can be bought almost anywhere today. But the bigger picture is difficult to find. We believe we have it.
What professional skills did you bring to the operation with your team?
One of our greatest assets is our ability to see the needs and dynamics of the manufacturing sector from an operational perspective. This is more than just legal knowledge and techniques. It requires tailor-made solutions that consider the unique industrial realities of each case. There are many factors that can make a deal more important than others. A mechanical company is different from a chemical company. This means that legal actions and analyses will be required from both a legal perspective as well as from an industrial standpoint. We don’t propose standard solutions and we don’t start from templates. Instead, we study the industrial realities we must address.
What are the implications of the merger for the larger machinery market in Italy
The deal is a great opportunity for the Beta Group. Originally a manufacturer of professional tools, it has expanded its product range to include a variety of products that are related to tooling, giving the term a wider meaning. In a context where the reference market is being strengthened and expanded, welding machines are, for example, a natural complement to the sector of abrasives, as well as that of electrical equipment in which the Beta Group is currently involved. This is a great deal, according to Beta Group.
