Cravath Advises Underwriters in €1 Billion Cencora Notes Offering.

Cravath, Swaine & Moore LLP served as counsel to the underwriters in Cencora, Inc.’s €1 billion registered senior notes offering, which closed on May 22, 2025.

The pharmaceutical giant, formerly known as AmerisourceBergen, is focused on improving health outcomes for both people and animals across the globe.

The offering was split evenly between €500 million of 2.875% Senior Notes due 2028 and €500 million of 3.625% Senior Notes due 2032.

According to regulatory filings, the proceeds will be used for general corporate purposes, which may include short-term investments and other operational needs.

Cravath’s deal team brought together attorneys from multiple practice areas. Capital markets work was led by partners Ryan J. Patrone and D. Scott Bennett, along with associates Nicholas B. Singer, Sam Baucom, and Catherine M. Crevecoeur.

Tax matters were handled by partner Arvind Ravichandran and associate Ruth Goldstein Schapiro. Environmental aspects of the transaction were covered by senior attorney Annmarie M. Terraciano and associate Star S. Gulant.
