Randall & Payne LLP advised Des Mcmanus on the acquisition of a major share in FFS Beauty.
FFS Beauty is an ethical female shaving company. It promotes cruelty-free products and provides women with quality products. FFS beauty has been a UK-based business since 2019 that has won awards in the beauty sector. FFS beauty places a high value on their environmental impact and has even created their own recycling program for their customers. FFS beauty was the first to create a metal-handled razor for women, which won the Product of the Year award in 2019. This was just the beginning of their mission to bring quality to an industry that has been overlooked.
Des McManus, who takes over as FFS’s executive chief, was supported by prominent advisors in the buyout of FFS Beauty. McManus, as one of the founders of this company, is confident that FFS beauty will flourish in the future and rise in the industry.
The transaction facilitated both the exit of an investor and the refinancing the business to reach the next phase of its growth plan.
James Geary of Randall & Payne’s Corporate Tax Department provided advice on the structure of the transaction to ensure overall tax efficiencies, and to preserve Enterprise Investment Scheme Status for minor investors. He also dealt with the advance clearances required from HM Revenue & Customs.
Ansons handled the legals and Debretts Private Finance led the deal.
